All-Mode Support for Products Previously Designed and Sold by Nortel

On December 18, 2009, Avaya acquired Nortel's Enterprise Solutions Group. This includes Nortel's technology platforms for the Nortel Data Portfolio, SMB Voice Products/Applications, and Enterprise Voice Products/Applications. (In addition, the acquisition also includes both Nortel Government Solutions and Diamondware, LTD.)

The acquisition of the Nortel groups mentioned above by Avaya creates the world's largest unified communications company delivering industry leading solutions and services to customers in North American and around the globe. Companies investing in, or who have investments in, Nortel and/or Avaya systems will benefit from the combined technological talent and resources that the new combined company will offer. Avaya will offer an expanded global reach, a strong partner ecosystem, and a strong portfolio of products and technologies in the SMB and Enterprise segments.

Some key points we would like to address with you, our client or prospective client, are as follows:

• All-Mode Communications, Inc. has been an independent distributor of Nortel products since 1979 and expects to continue to sell and support Nortel, and now Avaya, products for many years to come.
• All current support contracts with Nortel and All-Mode's clients will be supported without interruption.
• Avaya will support currently published planned updates and enhancements of all existing product lines. For example the next release of software for the CS1000 product line is projected to be released in the second quarter of 2010.
• Avaya provided a strategic product roadmap on January 19, 2010, and will maintain client's investment protection in both Avaya and Nortel platforms to the maximum extent reasonable, while offering the most advanced telecommunications solutions in the marketplace. • All-Mode will continue to support your Nortel system.
• All-Mode has an investment of over $500,000 of system inventory parts to ensure that our clients who have Service and Support contracts can be supported and that your Nortel system will continue to operate properly. We also have relationships with alternate part component suppliers to ensure continuity of supply for discontinued products as long as possible.
• All-Mode will continue to advise you to ensure your communications system is meeting your business needs. As a leader in the information technology business since 1972, we are also authorized partners with other industry leading manufacturers including Shoretel, Iwatsu, Aruba, Adtran and Dell
